GENERAL TERMS AND CONDITIONS OF SALE

1. Purpose and Scope
These General Terms and Conditions of Sale (hereinafter, the “Terms and Conditions”) govern sales made between the SELLER, Tiancheng Xdigi S.L., with Tax ID B-88333943, registered office at C/ Ramón Pérez de Ayala 152, 10A, 28038 Madrid (Spain), registered in the Commercial Registry of Madrid, Volume 4652, Folio [x], Page [x], telephone 916158634, and email info@xdigi.es,
and any natural or legal person placing an order on the website www.xdigi.es (hereinafter, the “CUSTOMER”).
The CUSTOMER declares that they have read, understood and accepted these Terms before placing any order.
Every order placed on the WEBSITE implies full and unconditional acceptance of these General Terms and Conditions.
2. Definitions
For the purposes of these Terms and Conditions:

CUSTOMER: a natural person acting as a consumer or end user, for purposes unrelated to any business or professional activity.

PRODUCTS: goods offered for sale on the WEBSITE.

DELIVERY: the physical receipt of the PRODUCTS by the CUSTOMER or by a third party designated by them.

TERRITORY: Mainland Spain and Portugal.
3. Acceptance of the Terms
The CUSTOMER declares that they are of legal age (at least 18 years old) and have sufficient legal capacity to contract.
The purchase process requires reading and accepting these Terms before confirming the order.
The version in force at the time of the order shall apply to the transaction.
The CUSTOMER may download or print a copy for their personal records.
4. Product Information and Characteristics
The SELLER strives to describe as accurately as possible the essential characteristics of the PRODUCTS.
Images, texts and descriptions are for informational purposes only and do not constitute a contractual commitment.
The SELLER reserves the right to modify or temporarily withdraw PRODUCTS from the catalog for availability or update reasons.
All PRODUCTS sold comply with current European and Spanish regulations.
5. Orders
5.1. Procedure
The CUSTOMER must select the desired PRODUCTS, add them to the cart, and complete the required information (identification, address, shipping and payment method).
Before confirming the order, the CUSTOMER may review and correct any errors.
The order is considered finalized once the CUSTOMER clicks “Confirm Order” and receives confirmation by email.
5.2. Confirmation
The SELLER will send an acknowledgment of receipt by email.
This acknowledgment does not constitute final acceptance, which remains subject to product availability and payment validation.
5.3. Invoicing
The CUSTOMER authorizes the SELLER to issue invoices electronically.
A printed copy may be requested at any time by contacting info@xdigi.es.
6. Price and Payment Terms
Prices on the WEBSITE are expressed in euros (€) and include the applicable VAT.
Shipping costs are displayed before order confirmation.
Payment is made through the methods available on the WEBSITE.
The CUSTOMER guarantees they have the necessary authorization to use the selected payment method.
In case of payment refusal or incident, the order will be automatically cancelled.
7. Availability and Delivery
7.1. Availability
The sales system is based on actual product availability. In case of stock shortage, the CUSTOMER will be informed as soon as possible.
The CUSTOMER may choose to:

Wait for the product to be restocked,

Accept a replacement product, or
-
Request a full refund of the amounts paid.
7.2. Delivery Times
Orders are prepared and shipped within the timeframes indicated on the WEBSITE.
Delivery times are counted in working days and begin after payment confirmation.
7.3. Risk and Transport
The risk of loss or damage transfers to the CUSTOMER when they receive the PRODUCT.
In case of transport incidents, the CUSTOMER has 3 working days from delivery to report damage or loss.
8. Right of Withdrawal
The CUSTOMER has a period of 14 calendar days to withdraw from the contract without justification, in accordance with applicable law.
To exercise this right, the CUSTOMER must notify it in writing to info@xdigi.es or via the form available on the WEBSITE.
The product must be returned in its original packaging, unused, and with all accessories.
Unless the return is due to an error or defect attributable to the SELLER, the direct cost of return shall be borne by the CUSTOMER.
Refunds will be made using the same payment method, within 14 days of receiving the returned product.
The right of withdrawal does not apply to customized, unsealed, or perishable products.
9. Warranties
9.1. Legal Warranty
All PRODUCTS are covered by the legal conformity warranty of three (3) years from delivery.
The CUSTOMER may request repair, replacement, price reduction, or contract termination, depending on the nature of the defect.
9.2. Hidden Defects Warranty
The SELLER is also liable for hidden defects of the PRODUCT under the Spanish Civil Code.
The CUSTOMER may choose between returning the product for a refund or keeping it with a proportional price reduction.
10. Liability
The SELLER shall not be held responsible for damages arising from improper use of the PRODUCTS or external causes (force majeure, accidents, third-party interference).
The SELLER does not guarantee continuous website availability but will make every effort to prevent interruptions.
11. Intellectual Property
All elements of the WEBSITE (texts, images, logos, code, design, and structure) are owned by the SELLER or authorized third parties and are protected by Spanish and EU law.
Reproduction, total or partial, without express authorization is prohibited.
12. Personal Data Protection
The processing of CUSTOMER personal data will be carried out in accordance with Regulation (EU) 2016/679 (GDPR) and Organic Law 3/2018 (LOPDGDD).

14. Applicable Law and Jurisdiction
These Terms are governed by Spanish law.
For any dispute, the parties submit to the Courts and Tribunals of the SELLER’s registered address, unless otherwise required by law.
Before resorting to litigation, both parties agree to attempt an amicable resolution within fifteen (15) days.
15. Modification of the Terms
The SELLER may amend these Terms at any time.
New versions will be published on the WEBSITE and take effect upon publication.
The applicable version will be the one in force at the time of the order.
ANNEX 1 – Summary of the Withdrawal Policy

ANNEX 2 – Summary of the Delivery Policy

Deliveries only within mainland Spain and Portugal.

Average delivery time: 24–72 working hours (depending on availability and destination).

If delayed more than 30 days, the CUSTOMER may cancel the contract and obtain a full refund.

All products are shipped with packaging compliant with applicable transport regulations.
